Terms of Sale
Effective date: 20 May 2026
These Terms of Sale govern the sale of BBQ charcoal and related products by PT Coco Total BBQ Indonesia (“Seller”, “we”, “us”) to wholesale, OEM, and private-label buyers (“Buyer”). They apply to every quotation, pro-forma invoice, sales contract, and shipment unless expressly varied in writing by an authorised representative of the Seller.
1. Quotations & orders
Quotations are valid for 14 days from the date of issue unless stated otherwise and are subject to availability of finished, lab-graded stock and confirmation by the Seller. An order becomes binding only when the Seller issues a pro-forma invoice and the Buyer pays the required deposit.
2. Minimum order quantity (MOQ)
Standard MOQ is one 20-foot FCL (full container load), approximately 18 tons total, of finished, lab-graded product. One full-container load is the smallest sea-freight unit for export, so sub-FCL / less-than-container (LCL) shipments are not offered. Whether a single container can combine grades, shapes, or packaging (a mixed-SKU load) is confirmed against your specific enquiry and stated on the pro-forma invoice — it is not a standing entitlement. Sample orders are quoted separately.
3. Prices & Incoterms
All prices are quoted in USD and on the Incoterms® 2020 basis stated on the pro-forma invoice (typically FOB from a named main Java port — Tanjung Emas (Semarang), Tanjung Perak (Surabaya), or Tanjung Priok (Jakarta)). Prices exclude destination duties, taxes, and inland charges, which are the Buyer’s responsibility.
4. Payment terms
- 30% T/T deposit on order confirmation;
- 70% T/T balance against copy of Bill of Lading, prior to release of original documents; or
- Irrevocable Letter of Credit at sight, confirmed by a first-class bank, by prior agreement.
Bank charges outside Indonesia are for the Buyer’s account. All payments are accepted only to the Seller’s registered company bank account, as stated on the pro-forma invoice; we never request payment to a private or personal account.
5. Production lead time & shipment
Because we sell from finished, lab-graded stock, orders are dispatched from existing inventory rather than produced against the order; the dispatch window is confirmed on the pro-forma invoice, plus the print-and-pack turnaround for OEM orders once artwork is approved. Ocean transit is additional. The Seller will use reasonable efforts to meet the estimated shipment date but is not liable for delays caused by carrier schedules, port congestion, weather, or other events beyond its control.
6. Quality, inspection & certificates
Goods are manufactured in our ISO 9001-certified facility and pass our 7-step in-house quality control; the ISO 9001 certificate is available on request. Each shipment is accompanied by a Certificate of Analysis (COA) from an independent surveyor when requested. Third-party pre-shipment inspection (SGS, Intertek, Bureau Veritas, or Buyer’s nominated inspector) is welcome at the Buyer’s cost.
7. OEM / private label
For OEM orders, the Buyer warrants that all artwork, brand names, and trademarks supplied to the Seller do not infringe any third-party rights, and indemnifies the Seller against any related claims. Tooling and artwork remain the Buyer’s property.
8. Claims
Any claim regarding quantity, quality, or packing must be notified in writing to the Seller within 14 days of arrival of the goods at the destination port, accompanied by photographs, samples, and (where available) a survey report. Claims raised after this period will not be accepted. The Seller’s liability is limited to the invoice value of the affected goods.
9. Title & risk
Risk passes to the Buyer in accordance with the agreed Incoterm. Title to the goods passes to the Buyer only upon receipt by the Seller of payment in full.
10. Force majeure
The Seller is not liable for any failure or delay in performance caused by events beyond its reasonable control, including fire, flood, earthquake, epidemic, war, civil unrest, government action, export bans, port closures, or shortages of raw materials.
11. Governing law & dispute resolution
These Terms are governed by the laws of the Republic of Indonesia. Any dispute that cannot be resolved amicably will be submitted to the Indonesian National Board of Arbitration (BANI) in Jakarta, in English, with the award binding on both parties.
